General Terms and Conditions (AGB)

General information
- These General Terms and Conditions (GTC) govern the relationship between Kernbeisser Counseling, hereinafter referred to as “KC,” and its service recipients, hereinafter referred to as “the client.”
- These GTC apply to all services and deliveries of goods from KC to the customer and are also tacitly accepted by the customer when placing an order.
- Counter-confirmations by the customer with reference to its terms and conditions of business or purchase are hereby rejected. Deviations from these GTC must be made in writing.
- Service providers and customers pay attention to fair business practices.
- Offer and subject matter of the contract
- KC’s offers are subject to change with regard to prices, quantity, delivery period, delivery options and ancillary services. We expressly reserve the right to make changes.
- The offering consists of services (both online and offline) as well as products of all kinds
- Pricing
- KC’s current prices shall apply upon receipt of the order.
- The currency in which billing takes place is determined solely by the service provider, KC.
- Prices are subject to change at any time without prior notice.
- All prices are exclusive of VAT.
- Orders
- Standard services can be ordered, among other ways, through our websites under the terms and conditions listed there.
- Services that do not conform to any standard shall be agreed upon on a case-by-case basis. A written agreement shall serve as proof.
- Terms of delivery
- Prices are ex location of the service provider.
- Packaging and transportation costs, insurance, installation, training and application support will be invoiced separately and are not included in the purchase price of the product.
- A product is deemed to have been delivered when KC has handed the product over to the customer. This may have taken place physically or digitally.
- A service is considered to have been rendered when the agreed-upon service has been provided in terms of time or results. A service is considered to have been rendered when a product is shipped or made available for download, or when a personal service is commenced on-site or digitally without prior cancellation.
- Warranty services
- The risk for a shipment shall pass to the customer as soon as the goods leave KC.
- Online services are guaranteed. In the event of technical problems, alternatives will be offered as soon as possible. If reasonable alternatives are rejected by the customer or not taken advantage of, the right to claim expires after one month at the latest.
- Any complaints regarding the goods or services must be submitted in writing immediately, but no later than fourteen days after receipt; otherwise, the delivery or service shall be deemed accepted.
- KC must be given sufficient time for warranty work.
- Redemption conditions
- The customer must inspect the goods himself and notify KC in writing of any delivery errors within the period specified in section 6.3.
- Returns may only be made after prior consultation with KC. Returns made without prior consultation do not entitle the customer to any form of compensation, nor do they result in the termination of the contract. The same applies to services that have been rendered.
- KC shall be entitled to charge the customer a reasonable processing fee if goods are taken back or an agreed or booked service is withdrawn. The minimum processing fee is 50 euros. The amount of the actual expense shall be determined solely by KC.
- Terms of payment
- The terms of payment are confirmed on the website or on an order confirmation.
- Product Deliveries: Product deliveries are payable in advance, by credit card, or in cash upon delivery. Orders placed on the website must be paid for online using one of the specified payment methods. Delivery will only be made after payment has been received.
- Services such as workshops, training sessions, or conferences can be provided on an invoice basis. For events and other projects, KC may require that the invoice be paid in advance; otherwise, there is no entitlement to the service. For larger projects, or if more than one month elapses between the placement of the order and the completion of the project, KC is entitled to request payments on account for work already performed.
- In the event of late payment, KC is entitled to charge reminder fees and late payment interest. The minimum reminder fee is EUR 100.
- KC shall be entitled to waive further deliveries or services if the customer is in default of payment.
- Intellectual property, first use and rights of use
- For contract work
- The copyright to all works created by KC (concepts, training documents, creative ideas, etc.) shall remain with KC.
- The customer shall be entitled to use the works and documents created by KC within the scope of the order or service. This right of use must always be in writing.
- Unless expressly agreed otherwise, use by the customer relates to the first use. An unlimited right of use is not automatically granted.
- Any reuse of concepts, ideas, templates, photos, or other works for purposes other than their initial use requires written permission from KC. Any further use is always subject to a license. Any exceptions to this rule must be made in writing.
- For contract work
- Final provisions
- Dutch law applies. The place of jurisdiction is The Hague, Netherlands.
- KC may additionally refer to the place of jurisdiction at the customer’s domicile and/or place of business.
